Biography

Matt Cole joined Earp Cohn P.C. as Of Counsel in 2025.  He has an extensive background in the fields of corporate, securities, and commercial real estate law and business divorce matters.   For 17 years, Matt served as primary outside securities counsel to a well-known New York Stock Exchange-listed company. Before joining Earp Cohn, he spent 16 years with a Philadelphia-based firm known for its focus on business divorce transactions and litigation.

Practice Focus

Matt provides practical, strategic advice to clients in the following areas:

• Formation of business entities, including preparation of shareholder, operating, joint venture and partnership agreements
• Public company securities and corporate governance counseling, including SEC filings preparation; representation of issuers and investors in connection with venture capital transactions and other private placements of common stock, preferred stock, SAFEs, and convertible notes
• Mergers and acquisitions primarily involving private companies
• Commercial financing, including mezzanine loans, participations, and intercreditor arrangements, as well as other specialized commercial contracts (UCC, high-tech, distribution, and manufacturing agreements;  website terms & conditions)
• Purchase, sale, financing and leasing of commercial real estate, including working closely with and managing environmental and land use counsel

Matt’s business divorce experience centers on structuring and implementing buy-out, financing and other related transactions.   As part of this practice, he also advises commercial litigators on substantive business organization and commercial law and identifies and evaluates causes of action, such as for minority oppression.
